How we are governed

Company structure

Coastline Housing was incorporated in November 1996 and is an independent charity, registered with the Charity Commission. As a public benefit entity and social business, it runs on a non-distribution basis. This means that all profits generated are retained for our charitable objectives.

We are also registered with the Regulator of Social Housing which provides the primary regulatory framework for providers of social housing.

We are also registered with the Care Quality Commission for the services provided at Miners Court.

Coastline Housing has four wholly-owned subsidiaries:

• Coastline Design & Build Limited, a design and build contractor
• Coastline Homes Limited, a design, construction and sale of residential housing contractor
• Coastline Care Limited
• Coastline Services Limited, a building maintenance and grounds contractor

Together these companies form Coastline Housing Group (‘the Group’).

Coastline Housing is a company Limited by Guarantee registered at Companies House. The four subsidiaries are all companies limited by shares and are also registered at Companies House.

Our governance structure

Our Board is our ultimate governing body and has overall responsibility for the whole Coastline Group.

The day-to-day management is delegated by the Board Members to the Chief Executive and our Executive Team.

There are four Committees reporting into our Board: Audit, Risk & Assurance, Property & Investment, People, and Customer Experience.

The Group Board has adopted the National Housing Federation Code of Governance 2020 and Code of Conduct 2022 to ensure accountability, integrity, openness, and equality, diversity, and inclusion. Every year we review the effectiveness of the Group Board and have development and succession plans in place so we maintain the highest standard of governance. We promote diversity to ensure members reflect the communities we serve.
